By engaging Ecotech Compliances, visiting our digital platforms, retaining our consultancy personnel, or receiving technical memos, audit reports, or regulatory filings, you agree to be bound unconditionally by these Terms and Conditions.

If you are entering into this agreement on behalf of a corporation, partnership, government concessionaire, or institutional asset holder, you warrant that you possess the requisite statutory and corporate authority to bind said entity to these covenants.

Statutory Precedence:

Specific project execution contracts, Statements of Work (SOW), and Sovereign Clearances Engagement Letters executed in writing between Ecotech and the Client shall take precedence over general clauses herein in the event of an irreconcilable conflict.

Section 02

2. Independent Advisory Status & Non-Contracting Impartiality

Ecotech operates exclusively as an **independent, third-party scientific and statutory advisory firm**. We do not act as an EPC contractor, equipment manufacturer, commodity broker, or turn-key civil builder unless explicitly specified under a separate turnkey engineering charter.

  • Impartial Scientific Assessments: All baseline environmental analyses, tailings stability reviews, and emissions telemetry are conducted in accordance with objective scientific methodologies and statutory benchmarks.

Section 03

Section 04

4. Client Obligations, Data Authenticity & Site Access

The efficacy, defensibility, and statutory validity of Ecotech's advisory deliverables depend directly upon the completeness and veracity of information provided by the Client:

  • Accurate Operational Records: Client agrees to provide genuine, unadulterated production logs, spatial boundary coordinates, water extraction metrics, and hazardous inventory registers.
  • Unrestricted Site Access: Client shall grant Ecotech auditors and field scientists safe, timely, and lawful access to mining concessions, industrial plants, monitoring borewells, and effluent treatment facilities.
  • Material Change Notification: Client must immediately notify Ecotech in writing of any structural modifications in production capacity, chemical processes, or boundary disputes during ongoing statutory filings.
Section 05

5. Regulatory Filings & Sovereign Authority Determinations

While Ecotech maintains a peerless track record of rigorous statutory preparation, submission defense, and technical conciliation before State Pollution Control Boards (SPCB), the Ministry of Environment, Forest and Climate Change (MoEFCC), and National Green Tribunals:

Regulatory Discretion Notice

Final grant, revocation, suspension, or conditionality of environmental clearances, industrial consents (CTE/CTO), and mining lease renewals remain within the sovereign discretion of relevant government bodies and judicial authorities. Ecotech does not guarantee statutory outcomes contingent upon discretionary political or sovereign policy shifts.

Section 06

6. Intellectual Property & Technical Dossiers

All proprietary computational models, environmental baseline algorithms, spatial telemetry scripts, risk matrices, and advisory methodologies developed by Ecotech remain the sole intellectual property of Ecotech Compliances.

Upon receipt of full payment under an executed agreement, the Client is granted a non-exclusive, perpetual, non-transferable license to utilize the delivered reports, EIA dossiers, and compliance memos strictly for the specific asset and statutory purpose intended.

Section 07

7. Non-Disclosure & Institutional Confidentiality

Ecotech enforces institutional-grade non-disclosure protocols. All proprietary mining data, metallurgical assays, concession financial valuations, confidential plant blueprints, and trade secrets disclosed during advisory engagements are treated with strict confidentiality.

Confidentiality obligations do not extend to information that: (a) is or becomes publicly known through no breach of Ecotech; (b) is required to be disclosed under sovereign statute, ministerial subpoena, or court order; or (c) was independently known prior to disclosure.

Section 08

8. Limitation of Liability & Disclaimers

To the maximum extent permitted by applicable law, in no event shall Ecotech Compliances, its directors, scientific officers, or affiliates be liable for any indirect, consequential, punitive, exemplary, or special damages, including lost revenue, statutory fines incurred prior to retention, or production downtime.

Aggregate Cap on Liability:

Ecotech's total cumulative liability arising out of or related to any advisory engagement, whether in contract, tort (including negligence), or statutory duty, shall not exceed the total professional advisory fees actually paid by the Client to Ecotech under the relevant SOW in the 12 months preceding the claim.

Section 09

9. Indemnification & Risk Allocation

The Client agrees to defend, indemnify, and hold harmless Ecotech Compliances and its consulting personnel against any third-party claims, statutory penalties, environmental damages, or legal actions resulting from: (a) inaccurate or fraudulent data submitted by Client; (b) Client's failure to implement mandatory environmental management plans (EMP); or (c) unauthorized hazardous operational discharges on site.
